InzpireU Terms of Service, Community Standards, and Privacy Commitments

Welcome to InzpireU. These Terms of Service (“Terms”) govern your access to and use of the InzpireU website, applications, products, services, content, and related platform functionality (collectively, the “Platform” or “Services”).

By accessing, registering for, or using the Platform, you agree to comply with these Terms, our Privacy Policy, and any additional policies or guidelines referenced herein. If you do not agree to these Terms, you may not use the Platform.

InzpireU reserves the right to modify or update these Terms at any time. Continued use of the Platform following updates constitutes acceptance of the revised Terms.

Where a separate enterprise, educational institution, or organizational agreement exists between InzpireU and a customer organization, the terms of that agreement will govern in the event of conflict with these Terms.


1. Platform Purpose

InzpireU is a technology platform designed to support mentorship, learning, collaboration, workforce development, networking, educational engagement, and professional growth opportunities between users, organizations, mentors, learners, advisors, and communities.

The Platform may include:

  • Mentorship programs
  • Educational communities
  • AI-enabled learning tools
  • Scheduling and communication tools
  • Coaching and advisory interactions
  • Community discussions
  • Organization-based collaboration spaces
  • Events, workshops, and learning experiences

InzpireU acts solely as a platform provider facilitating connections and interactions between users.


2. Eligibility and Minimum Age Requirements

To create an account or use the Platform, users must be at least sixteen (16) years of age.

Users under eighteen (18) years of age may only use the Platform with the knowledge, consent, and supervision of a parent or legal guardian.

By allowing a minor to access the Platform, the parent or legal guardian:

  • Accepts responsibility for supervising the minor’s use of the Platform
  • Agrees to monitor mentorship relationships and communications
  • Acknowledges the risks associated with online interactions
  • Accepts responsibility for the minor’s conduct and activities on the Platform

InzpireU reserves the right to:

  • Verify user age or identity
  • Request parental consent documentation
  • Restrict, suspend, or terminate accounts that violate eligibility requirements

3. Account Registration and Security

To use certain features of the Platform, users must create an account and provide accurate and complete information, including:

  • Name
  • Email address
  • Username
  • Password
  • Additional profile information as requested

Users are responsible for:

  • Maintaining the confidentiality of account credentials
  • All activities occurring under their account
  • Promptly notifying InzpireU of unauthorized access or security concerns

Providing false, misleading, or fraudulent information may result in account suspension or termination.


4. Profile Visibility and Verification

Users may choose to maintain either:

  • A private profile, or
  • A publicly discoverable profile

InzpireU may conduct limited verification processes for certain user categories, including mentors, advisors, or publicly visible professionals. However, verification does not constitute endorsement, certification, or guarantee of any individual’s qualifications, conduct, experience, or intentions.

Users are solely responsible for evaluating whether another user is appropriate for engagement, mentorship, collaboration, or communication.


5. Community Conduct Standards

Users agree to use the Platform responsibly, ethically, and lawfully.

Users may not:

  • Violate applicable laws or regulations
  • Harass, intimidate, threaten, or abuse others
  • Engage in hate speech, discrimination, or harmful conduct
  • Share illegal, offensive, harmful, or deceptive content
  • Impersonate another person or organization
  • Misrepresent credentials, experience, or identity
  • Exploit, manipulate, groom, or coerce other users
  • Attempt to scam or financially exploit users
  • Collect personal information without consent
  • Interfere with Platform functionality or security
  • Upload malicious software or harmful code
  • Circumvent moderation or safety systems
  • Use the Platform for unauthorized solicitation or advertising

InzpireU reserves the right to investigate violations and take action including:

  • Content removal
  • Account restrictions
  • Suspension
  • Permanent termination
  • Reporting unlawful activity to authorities where appropriate

6. On-Platform Communication Expectations

To promote safety, transparency, moderation, and accountability, users are strongly encouraged to keep mentorship discussions, educational conversations, file sharing, scheduling, and collaboration activities within the Platform.

Users may not use the Platform to:

  • Pressure others into off-platform communication
  • Circumvent safety or moderation systems
  • Solicit personal contact information for inappropriate purposes
  • Conduct unauthorized financial transactions
  • Engage in manipulative or exploitative behavior

InzpireU may monitor platform activity, reports, metadata, and communication patterns for:

  • Security
  • Fraud prevention
  • Safety enforcement
  • Compliance
  • Platform integrity
  • Abuse prevention

Monitoring activities will be conducted in accordance with applicable privacy and data protection laws.


7. User Interactions and Assumption of Risk

Users acknowledge and agree that:

  • InzpireU is a technology platform and not a direct provider of mentorship, counseling, therapy, legal advice, or employment services
  • User interactions occur voluntarily and at each user’s own discretion and risk
  • InzpireU does not independently verify all user identities, qualifications, credentials, backgrounds, statements, or intentions
  • Users are responsible for exercising caution and judgment when interacting with others

Users should avoid sharing:

  • Financial information
  • Government identification
  • Sensitive personal data
  • Medical information
  • Confidential business information
  • Passwords or access credentials

unless appropriate safeguards and independent verification are in place.


8. No Liability for User Conduct

InzpireU is not responsible or liable for the conduct, communications, actions, omissions, or behavior of any user, organization, mentor, learner, advisor, third party, or external participant.

This includes, but is not limited to:

  • Harassment
  • Manipulation
  • Fraud or scams
  • Misrepresentation
  • Emotional distress
  • Financial loss
  • Unauthorized advice
  • Off-platform interactions
  • Inappropriate communications
  • Misuse of shared information
  • User disputes
  • Grooming behavior
  • Third-party misconduct

This limitation applies whether interactions occur:

  • On the Platform
  • Through email
  • Via social media
  • Through messaging applications
  • By phone or video
  • During in-person meetings or events

InzpireU cannot guarantee the honesty, professionalism, qualifications, intentions, or safety of any user.


9. Educational and Mentorship Disclaimer

All mentorship, coaching, educational content, AI-generated insights, advisory discussions, workshops, and community interactions are provided for informational and developmental purposes only.

InzpireU does not guarantee:

  • Employment opportunities
  • Career advancement
  • Business outcomes
  • Educational admissions
  • Certifications or licensing
  • Financial success
  • Professional achievements
  • Mental health outcomes
  • Legal compliance

Users remain solely responsible for evaluating and acting upon any advice, recommendations, or information received through the Platform.


10. Intellectual Property

All Platform content, branding, software, systems, designs, graphics, text, logos, AI models, workflows, and materials are owned by or licensed to InzpireU and protected by applicable intellectual property laws.

Users may not:

  • Copy
  • Reproduce
  • Redistribute
  • Reverse engineer
  • Modify
  • Commercialize
  • Resell

any portion of the Platform without prior written permission from InzpireU.

Users retain ownership of content they submit but grant InzpireU a worldwide, non-exclusive, royalty-free license to use, host, display, distribute, and improve the Platform using such content.


11. Third-Party Services and Links

The Platform may contain integrations, links, tools, advertisements, or services provided by third parties.

InzpireU does not control and is not responsible for:

  • Third-party websites
  • Third-party software
  • External services
  • Advertisements
  • Data handling practices of external providers

Use of third-party services is at the user’s own risk and subject to the applicable third-party terms and policies.


12. Service Availability and Modifications

InzpireU may:

  • Modify Platform features
  • Add or remove functionality
  • Suspend services
  • Perform maintenance
  • Restrict access
  • Discontinue portions of the Platform

at any time without liability.

We may attempt to provide notice of material changes where reasonably practical.


13. Disclaimer of Warranties

The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind.

To the fullest extent permitted by law, InzpireU disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Availability
  • Security
  • Uninterrupted operation

InzpireU does not guarantee that the Platform will be error-free, secure, or continuously available.


14. Limitation of Liability

To the maximum extent permitted by law, InzpireU and its officers, employees, directors, contractors, affiliates, partners, and agents shall not be liable for:

  • Direct damages
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages
  • Punitive damages
  • Loss of profits
  • Loss of data
  • Business interruption
  • Emotional distress
  • Reputational harm

arising from or related to:

  • Use of the Platform
  • User interactions
  • Third-party conduct
  • Reliance on content or advice
  • Service interruptions
  • Security incidents
  • Unauthorized access

even if advised of the possibility of such damages.


15. Indemnification

Users agree to indemnify and hold harmless InzpireU and its affiliates, employees, officers, directors, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Violation of these Terms
  • Misuse of the Platform
  • User content
  • Violation of applicable laws
  • Interactions with other users

including reasonable legal fees and enforcement costs.


16. FERPA and Educational Data Privacy

InzpireU is committed to protecting student education records in alignment with the Family Educational Rights and Privacy Act (FERPA) and applicable privacy regulations.

Where operating on behalf of educational institutions, InzpireU functions as a “School Official” with legitimate educational interest.

Our privacy and security practices include:

  • Role-based access controls
  • Encryption in transit and at rest
  • Multi-factor authentication
  • Audit logging and monitoring
  • Data minimization practices
  • Incident response procedures
  • Secure data retention and destruction policies
  • FERPA training for personnel handling student data

Additional institutional agreements may apply to educational deployments.


17. Termination

InzpireU reserves the right to suspend, restrict, or terminate access to the Platform at any time, with or without notice, for:

  • Violations of these Terms
  • Safety concerns
  • Fraudulent activity
  • Legal compliance requirements
  • Harmful or disruptive conduct

Users may discontinue use of the Platform at any time.

Sections relating to liability, intellectual property, indemnification, disclaimers, and dispute obligations shall survive termination.


18. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where InzpireU operates, without regard to conflict of law principles.

Any disputes arising from these Terms or the Platform shall be resolved through the appropriate courts or dispute resolution mechanisms designated by InzpireU.

By using the Platform, you acknowledge that you have read, understood, and agreed to these Terms of Service and Community Standards.

Enterprise Terms and Conditions

These Enterprise Terms and Conditions (“Agreement”) govern access to and use of the InzpireU platform, software, AI features, analytics systems, APIs, applications, and related services (collectively, the “Platform” or “Services”) provided by InzpireU, Inc. (“InzpireU,” “we,” “us,” or “our”).

By executing an Order Form, accessing, or using the Services, the organization identified in the applicable Order Form (“Organization,” “Customer,” or “you”) agrees to be bound by this Agreement. If the individual accepting this Agreement is acting on behalf of an organization, such individual represents and warrants that they possess the authority to bind that organization to this Agreement.

If an executed Order Form, Master Subscription Agreement (“MSA”), or negotiated enterprise agreement exists between the parties, such agreement shall control in the event of conflict with these Terms.


1. Definitions

1.1 Authorized Users

Individuals authorized by the Organization to access the Services, including administrators, instructors, learners, employees, contractors, advisors, managers, or other permitted users.

1.2 Customer Content

All data, content, prompts, files, documents, configurations, workflows, learning materials, user-generated content, analytics inputs, and information submitted, uploaded, stored, or processed by the Organization or its Authorized Users through the Services.

1.3 AI Features

Artificial intelligence, machine learning, generative AI, recommendation systems, summarization systems, scoring models, analytics engines, or predictive functionality provided within the Services.

1.4 Confidential Information

Any non-public business, technical, operational, financial, strategic, or proprietary information disclosed by either party.

1.5 Order Form

A mutually executed ordering document specifying subscriptions, pricing, usage limits, services, or commercial terms.


2. Scope of Services

InzpireU is a cloud-based enterprise learning, mentorship, workforce development, analytics, and AI-enabled operational platform designed to support organizations in:

    • Managing learning and mentorship programs
    • Delivering educational and workforce content
    • Tracking engagement and participation
    • Generating analytics and insights
    • Automating workflows and administrative functions
    • Enabling AI-assisted content creation
    • Managing learners, instructors, mentors, and communities
    • Supporting organizational development initiatives

The Platform is configurable by the Organization and does not prescribe educational methodology, workforce policies, accreditation standards, employment practices, or regulatory compliance frameworks.


3. License Grant

Subject to compliance with this Agreement and payment of applicable fees, InzpireU grants the Organization a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Services solely for internal business, workforce, educational, training, mentorship, and operational purposes.

No ownership rights are transferred under this Agreement.


4. Organizational Responsibilities

The Organization is solely responsible for:

    • Assigning and managing user access
    • Ensuring Authorized Users comply with this Agreement
    • Maintaining internal governance and administrative controls
    • Determining the suitability of the Platform for its intended use
    • Supervising workforce, educational, mentorship, or operational activities conducted using the Services
    • Reviewing all AI-generated outputs before operational use

The Organization acknowledges that it retains full responsibility for decisions, actions, communications, and outcomes arising from its use of the Services.


5. Account Security

Each Authorized User must maintain a unique account and login credentials.

The Organization is responsible for:

    • Maintaining credential confidentiality
    • Preventing unauthorized access
    • Promptly revoking access for terminated or unauthorized users
    • Notifying InzpireU of suspected security incidents

Credential sharing is prohibited.


6. Customer Content Ownership

6.1 Ownership Rights

The Organization retains all right, title, and interest in and to Customer Content, including:

    • Uploaded materials
    • Organizational workflows
    • Learning structures
    • Internal methodologies
    • AI-generated outputs derived from Customer Content

InzpireU does not claim ownership of Customer Content.

6.2 Limited License to Operate Services

The Organization grants InzpireU a limited, non-exclusive license to host, process, transmit, display, analyze, and use Customer Content solely as necessary to provide, secure, maintain, improve, and support the Services.

6.3 No AI Training on Enterprise Data

Unless expressly agreed in writing:

    • Customer Content will not be used to train shared or public AI models
    • Customer Content will not be sold or shared with other customers
    • Organization-specific workflows, prompts, taxonomies, or proprietary methodologies remain confidential

7. AI Features and AI Risk Allocation

7.1 AI Outputs Are Probabilistic

The Organization acknowledges that AI-generated outputs:

    • Are probabilistic and machine-generated
    • May contain inaccuracies, hallucinations, omissions, bias, or outdated information
    • Require independent human review and validation

AI outputs should not be relied upon as the sole basis for operational, legal, HR, educational, compliance, financial, or strategic decisions.

7.2 No Professional Advice

AI outputs and analytics do not constitute:

    • Legal advice
    • Medical advice
    • Financial advice
    • Employment advice
    • HR advice
    • Regulatory guidance
    • Mental health services
    • Professional certification

7.3 No Automated Employment Decision System

InzpireU is not intended to function as an automated employment decision-making system.

The Organization remains solely responsible for:

    • Hiring decisions
    • Promotions
    • Compensation
    • Performance management
    • Workforce discipline
    • Employment compliance
    • Educational decisions
    • Accreditation or certification determinations

7.4 Prohibited AI Uses

The Organization shall not use AI Features for:

    • Unlawful discrimination
    • Biometric surveillance
    • Social scoring
    • Unauthorized profiling
    • Illegal automated decision-making
    • Activities prohibited under applicable AI or privacy laws

8. Programs, Content, and Certificates

The Platform may support:

    • Learning programs
    • Courses
    • Assessments
    • Certifications
    • Mentorship journeys
    • Progress tracking
    • Deadlines and milestones

Certificates issued through the Platform:

    • Reflect completion based on configured platform criteria
    • Do not imply accreditation unless explicitly stated by the Organization
    • Are the responsibility of the Organization

InzpireU does not independently validate educational quality, accreditation, licensing, or regulatory standing of Organization programs.


9. Analytics and Decision Support

Analytics, dashboards, recommendations, scoring systems, and AI-generated insights are provided solely as informational and operational support tools.

InzpireU does not guarantee:

    • Performance improvements
    • Educational outcomes
    • Workforce outcomes
    • Business outcomes
    • Compliance outcomes
    • Prediction accuracy

The Organization retains sole responsibility for interpreting and acting upon analytics or recommendations.


10. Data Protection and Security

10.1 Data Roles

The Organization acts as the data controller.
InzpireU acts as a data processor or service provider.

10.2 Security Measures

InzpireU maintains commercially reasonable safeguards including:

    • Role-based access controls
    • Encryption in transit and at rest
    • Secure cloud infrastructure
    • Access monitoring
    • Audit logging
    • Administrative safeguards
    • Incident response procedures

10.3 Security Incident Notification

InzpireU will notify the Organization without undue delay upon becoming aware of a confirmed unauthorized access to Customer Data where notification is legally required.

10.4 Subprocessors

InzpireU may engage trusted subprocessors, infrastructure providers, AI providers, analytics providers, and cloud vendors necessary to operate the Services.

InzpireU remains responsible for managing subprocessors under commercially reasonable confidentiality and security obligations.


11. Data Retention and Deletion

Upon termination or expiration of Services:

    • Customer Data may be retained for a limited period consistent with backup, legal, security, or operational requirements
    • Thereafter, Customer Data may be securely deleted or anonymized in accordance with InzpireU retention policies

The Organization is responsible for exporting any required data before termination unless otherwise agreed.


12. Confidentiality

Each party agrees to:

    • Protect Confidential Information using reasonable care
    • Use Confidential Information solely for purposes of this Agreement
    • Limit disclosure to authorized personnel with a need to know

Confidentiality obligations do not apply to information that:

    • Is publicly available
    • Was independently developed
    • Was lawfully obtained from a third party
    • Must be disclosed by law or court order

Confidentiality obligations survive termination.


13. Acceptable Use Restrictions

The Organization and Authorized Users shall not:

    • Upload unlawful, harmful, or infringing content
    • Violate intellectual property rights
    • Reverse engineer the Platform
    • Scrape or extract platform data
    • Interfere with security systems
    • Circumvent usage limits
    • Introduce malicious code
    • Misrepresent certifications or credentials
    • Use the Platform for unlawful surveillance or prohibited AI activities

InzpireU may suspend access for violations that threaten security, compliance, or platform integrity.


14. Service Availability and Beta Features

The Services are provided on a commercially reasonable availability basis.

Planned maintenance, upgrades, interruptions, or outages may occur.

Certain features may be identified as:

    • Beta
    • Preview
    • Experimental
    • Early access

Such features are provided “as is” without warranties and may be modified or discontinued at any time.


15. Fees, Billing, and Taxes

Fees, payment schedules, subscription limits, and renewal terms are defined in the applicable Order Form.

Unless otherwise stated:

    • Fees are non-refundable
    • Payments are due according to invoice terms
    • Late payments may result in suspension
    • Organization is responsible for applicable taxes excluding taxes based on InzpireU’s income

16. Warranties and Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INZPIREU DISCLAIMS ALL WARRANTIES, INCLUDING:

    • MERCHANTABILITY
    • FITNESS FOR A PARTICULAR PURPOSE
    • NON-INFRINGEMENT
    • ACCURACY
    • AVAILABILITY
    • RELIABILITY
    • SECURITY
    • ERROR-FREE OPERATION

InzpireU does not guarantee:

    • Learning outcomes
    • Business outcomes
    • AI accuracy
    • Regulatory compliance
    • Workforce improvements
    • Educational accreditation
    • Continuous availability

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL INZPIREU BE LIABLE FOR:

    • INDIRECT DAMAGES
    • INCIDENTAL DAMAGES
    • CONSEQUENTIAL DAMAGES
    • SPECIAL DAMAGES
    • PUNITIVE DAMAGES
    • LOSS OF PROFITS
    • LOSS OF BUSINESS
    • LOSS OF DATA
    • REPUTATIONAL HARM
    • BUSINESS INTERRUPTION

ARISING FROM OR RELATED TO THE SERVICES.

INZPIREU’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY THE ORGANIZATION DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.


18. Indemnification

The Organization agrees to indemnify, defend, and hold harmless InzpireU and its affiliates, officers, employees, contractors, and agents against claims arising from:

    • Customer Content
    • User misconduct
    • Violation of laws
    • Infringement claims arising from Customer Content
    • Misuse of AI outputs
    • Employment or educational decisions made by the Organization
    • Violations of this Agreement

19. Compliance with Laws

Each party agrees to comply with applicable laws and regulations, including:

    • Privacy laws
    • Data protection laws
    • Export control laws
    • Employment regulations
    • Educational regulations
    • AI governance requirements

The Organization remains solely responsible for determining whether the Services satisfy its legal or regulatory obligations.


20. Force Majeure

Neither party shall be liable for delays or failures resulting from causes beyond reasonable control, including:

    • Natural disasters
    • Internet outages
    • Cyberattacks
    • Labor disputes
    • Government actions
    • Pandemics
    • Infrastructure failures
    • Utility interruptions

21. Suspension and Termination

InzpireU may suspend or terminate access for:

    • Security threats
    • Legal obligations
    • Non-payment
    • Material breach
    • Harmful conduct
    • Platform misuse

Upon termination:

    • Access rights immediately cease
    • Outstanding payment obligations survive
    • Data handling follows retention obligations

22. Assignment

Neither party may assign this Agreement without prior written consent, except in connection with a merger, acquisition, reorganization, or sale of substantially all assets.


23. Governing Law and Venue

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Texas.


24. Entire Agreement

This Agreement, together with applicable Order Forms, DPAs, SLAs, and incorporated policies, constitutes the complete agreement between the parties and supersedes prior discussions or agreements relating to the Services.


25. Survival

Sections relating to:

    • Confidentiality
    • Intellectual property
    • Liability limitations
    • Indemnification
    • Payment obligations
    • Data protection
    • Dispute resolution

shall survive termination or expiration of this Agreement.

GrantFlow by InzpireU (“we,” “our,” “us”) is committed to protecting your privacy and ensuring transparency about how our Grant Data Chrome Extension (“the Extension”) works. This document explains what information the Extension accesses, how it is used, and how we comply with Chrome Web Store Developer Program Policies.


1. Purpose of the Extension

The Grant Data Chrome Extension is designed solely to help users collect and organize publicly available grant information from funding websites into a unified workspace.
It does not collect personal user information or track browsing activity beyond its intended purpose.


2. Information Access and Use

activeTab

Used to allow the extension to run only on the webpage the user explicitly activates, ensuring access is limited to user-selected pages.

cookies

Used only when a grant website requires authentication or session continuity. Cookies are never stored, collected, or shared by GrantFlow.

host permissions

Limited to grant-related websites (e.g., government or foundation directories). This enables the extension to extract publicly available grant listing data, such as program titles, deadlines, and eligibility.

remote code

The extension does not use remote code for arbitrary execution. Remote resources, if used, are limited to configuration updates necessary for parsing grant data.

scripting

Required to identify and extract structured information (grant title, deadline, funding amount, eligibility criteria) and display it inside the extension.

sidePanel

Used to provide a convenient view of scraped data alongside the active page so users can review, compare, or save grant opportunities without leaving the site.

tabs

Allows the extension to detect which page the user is scraping from and to open a new tab when exporting or saving grant data.


3. Data Collection and Sharing

  • We do not collect personal data.

  • We do not sell, share, or transfer data.

  • Extracted information is limited to publicly available grant listings on sites the user chooses.


4. Security

  • All grant data is processed locally within the user’s browser.
